What are the terms and conditions for SEO?

Terms and Conditions for Non-Pay-Per-Click Search Engine Optimization Packages.

The agreement is between the client referred from to as the "Company", and Mindware, referred to as the "Consultant".

The Company contracts the Consultant to improve the ranking of the company`s web site in the search engines in accordance with the following terms and conditions:

1. Upon clearance of payments from the Company, the Consultant will start optimizing the company`s web site for the search engines. Optimization includes all services as outlined in Consultant`s "process doc" as agreed between the company and the consultant. Such optimization will be performed by Consultant, or if the Company prefers, Consultant can instruct the company`s webmaster on specific text and html code changes. These changes include minor revisions to web site text, subheads and headings so as to include those keywords approved by the Company.

2. The Consultant agrees to perform those services as outlined in the proposal sent to the client and the combination of services chosen by the company.

3. The Consultant, as part of the initial optimization services, will work to obtain top 100 rankings for those keywords mutually-agreed upon between the Consultant and the Company.

4. The Consultant shall not optimize the Company`s web site for single word keywords. The Consultant shall only optimize the Company`s web site for multiple word keywords.

In some instances, specific single and multiple word keywords are too broad any may require further targeting or additional investment in order to obtain top rankings. (For example, "cell phones," "web hosting" or "mutual funds" are highly competitive keywords and would command additional investment to achieve top 30 rankings and/or change to a more specific definition.

5. Upon completion of the Consultant`s initial services, (approximately within 4 weeks from the start of the optimization work) the Consultant will make regular updates and work towards maintaining the high rankings achieved by the Consultant by performing ongoing maintenance for One Year (based on the same option being selected by the company).

6. The company may select the Consultant to perform a Yahoo Business Directory Submission. The price for this service is billed at Consultant`s cost and is payable in advance.

7. The copyright to the pages created by the Consultant will belong to the Company. However, if the Company makes any changes to these pages without the advice of the consultant, the Consultant will not be responsible for the consequences.

8. Because of frequent changes made by the search engines in the methods by which they rank sites, the Consultant does not guarantee that the search engine positions that the Consultant has obtained for the company will be permanent.

9. In order to create the optimized pages for the Company, the Consultant may ask the Company to provide new or additional content related to the company`s site. The Company will promptly provide the Consultant with the content required by the Consultant. If the Consultant must generate the needed content, additional investment will be required.

10. Whenever the Consultant recommends certain modifications to the design or content of the company`s web site in order to improve the position of the company`s web site in the search engines, the Company will promptly make such modifications.

11. The Consultant will not divulge information related to the personal or financial affairs of the Company to any third party unless specifically instructed to do so by the Company.

12. Prices of our products and services are subject to change without notice. Any service that is contacted for will be honored at the price available at the time of purchase of the Consultant`s services. Company has the option to lock-in maintenance fees by purchasing a year`s worth of services in advance.

13. Company agrees that any testimonial or opinion given with respect to the Consultant`s services, may be used in the Consultant`s marketing materials, and this agreement constitutes as written release of any rights by the Company or the Company`s authorized agent to do so.

14. The company expressly understands that the Consultant does not guarantee achievement of top rankings but will undertake to use its expertise and experience to achieve the same.
